Terms and Conditions

By placing an order for any of our services offered by Daffodil Solutions, you confirm that you wholly agree, understand and are legally bound by the following terms and conditions.

Trading Name - Daffodil Solutions is the trading name of Miss Kelly Sheppard of 2 Fir Walk, Torquay, Devon, TQ2 7HQ.

Please contact us and we will send you a complete list for your chosen package of all the elements the SEO package includes.

Our SEO packages do not include SSL certificates (to make your website secure with HTTPS) and they do not include technical SEO on any payment platforms, reservation systems or booking systems for websites.

If you own a WordPress, Magneto, Drupal, Prestashop or any other website built with a third-party template, we may be unable to make technical changes to the template or content management system, e.g. to improve speed. This also applies to any SEO issues if they are contained within the template or WordPress itself. We will always inform you of any errors we find which we are unable to fix.

Your website must be live and not blocked from crawling in order for us to be able to provide our SEO services.

If your site is not already mobile-friendly, we cannot make it mobile friendly as part of our SEO services. We will let you know if this is the case.

SEO reports will be sent to you in a PDF format by email at the intervals specified in your package. Our SEO reporting tool is provided by a third party, and therefore we cannot be held responsible for any inaccurate information which (very rarely) may be provided in these reports.

We reserve the right to add, alter or withdraw, with adequate notice to you, any of the services included in our SEO packages at any time.
In order to carry out the SEO work contained in your chosen package, we will require administrator access to your website, including code, backend and FTP server. Any login details you provide to us will be stored within an end-to-end encrypted with AES-256 bit encryption password management system. Similarly, we will require administrator access to your social media accounts for gold package customers so that we can post and create social media content for you.
For more information about our SEO services or to place an order, please contact us by telephone or email and we will arrange a convenient time to meet with you in Torbay to discuss your requirements. Alternatively, we can conduct the meeting via telephone if you prefer. During the meeting, you will be given information about what all of our services include as well as prices. If you choose to go ahead with our services, we will require you to sign a copy of our terms and conditions and monthly SEO contract, which you can cancel at any time.

We reserve the right to refuse any orders for our services if deemed inappropriate or if we feel it will not be in the best interests of the company. We also reserve the right to cancel your services at any time if necessary, with appropriate notice to you. Please note: we do not work with pornographic, illegal or websites which may be deemed offensive.
We understand that your data is confidential, and as stated above, any login details and passwords you provide to us will be treated with the strictest security. We do not process your customer's data, other than anonymised data from your website and social media accounts which is used for SEO statistics via third party software. We have can view the names of your customers and have access to their profile if they are a follower or like your page on social media, however this information is not stored on our systems. It is your responsibility to ensure that you use strong passwords for your accounts and websites. To see how we use your data, please visit our Privacy Policy page.

It is your responsibility to ensure that all content, images and videos that you provide to us do not infringe any copyright or intellectual property laws. Daffodil Solutions cannot be held liable for any claims, losses, damages, legal fees, issues or lawsuits and cannot become involved in any disputes, between you, your employees, or business and another party regarding copyright or intellectual property infringement, arising from content contained on the your website or social media. Daffodil Solutions reserves the right to terminate your contract if you are believed to be using illegal or offensive material or copyrighted content without permission.

Daffodil Solutions cannot be held liable for any incidental or consequential damages which may arise from a security breach or "hack" on your website, social media or servers due to third-party server security, vulnerabilities in third-party software or weak passwords chosen by you or your employees.
Payments for our SEO services are on a monthly rolling basis by standing order until you cancel the service. You pay for our services at the end of each month for the previous month. We will send you an invoice at the end of each month by email for your records.

If you start to use our services during the middle of a month, you will only be charged pro rata for the number of days in that month. For example, if you start your monthly starter package on the 20th of a month with 31 days, we will only charge you for 11 days which would be £124.19 (£350 / 31 days x 11 days).

Daffodil Solutions reserves the right to alter, with adequate notice to you, any of the costs for SEO packages at any time. Any extra chargeable services you order will be clearly detailed on your invoice.

If for any reason, we do not receive the full amount for the previous month, we will inform you by email and the full amount should then be paid within 14 days. Your services will be postponed until the payment has been received. If the full amount is still not paid after 14 days, Daffodil Solutions reserve the right to charge a late payment fee of £50 plus interest at a rate of 5% per month for the outstanding amount. If the account is not settled within 60 days after the invoice has been issued, then the debt plus interest will be passed onto a solicitor and legal action may be taken to recover the debt.
It is your responsibility to make regular backups of your website. We cannot be held responsible if you lose any SEO work we have done for you as a consequence of failing to make regular backups.

Daffodil Solutions cannot be held liable for any issues arising from incompatibility or malfunction of your website in the future due to software or browser updates, programming language updates or depreciation and legal legislation changes.

We will ask your permission to use your logo and company name as part of our portfolio and for other promotional purposes. Please inform us if you do not wish for your business information to be included on our promotional material or website.

If your website is "down" or unavailable, we will reschedule the work for another date, or if the site is down for any reasonable length of time, we reserve the right to terminate your contract with us.
If you wish to cancel our services, please inform us immediately in writing by email. You will then need to cancel your standing order to us with your bank. We will confirm in writing that your services have been cancelled, and any login details you have provided to us will be immediately deleted.

We reserve the right to refuse any orders for our services if deemed inappropriate or if we feel it will not be in the best interests of the company. We also reserve the right to cancel your services at any time if necessary, with appropriate notice to you.
Daffodil Solutions cannot be held responsible for circumstances beyond our control such as war, acts of God, fire, flood, riot, power failure, internet outages, strikes or any other event which is beyond our control, which may delay the services we provide to you. You may opt to terminate your contract if events beyond our control which prevent us carrying out our services to you are ongoing beyond a reasonable period of time.

You agree to indemnify and hold harmless Daffodil Solutions from any and all claims, demands, losses, damages, lawsuits, including court or legal fees and costs, unless the claim is due to the direct negligence of Daffodil Solutions. You agree that you shall not hold Daffodil Solutions liable for any incidental or consequential damages that arise from third party providers of products or services.
